1. Acceptance of terms

By accessing or using CashGOAT's services, website, or platform (collectively, the "Services"), you agree to be bound by these Terms and Conditions ("Terms"). If you do not agree to these Terms, you may not access or use the Services.

These Terms constitute a legally binding agreement between you ("Client," "you," or "your") and CashGOAT ("we," "us," or "our").

2. Definitions

• Services: Fully managed outbound sales and lead generation services provided by CashGOAT, including list building, email campaign management, deliverability optimization, reply handling, and meeting scheduling.
• Client Data: Any data, information, or content provided by you or collected on your behalf during the provision of Services.
• Platform: The CashGOAT web application, dashboard, and related tools.
• Campaign: An outbound email sequence or outreach initiative run on your behalf.

3. Services provided

CashGOAT provides fully managed outbound sales services, which may include:

• Ideal Customer Profile (ICP) research and targeting
• Lead list building and data enrichment
• Personalized messaging and copywriting
• Email campaign setup, execution, and optimization
• Domain setup, warmup, and deliverability management
• Reply monitoring, qualification, and meeting scheduling
• Performance reporting and analytics

We reserve the right to modify, suspend, or discontinue any aspect of the Services at any time with reasonable notice.

4. Account registration

To use the Services, you must create an account. You agree to:

• Provide accurate, current, and complete information
• Maintain the security of your account credentials
• Notify us immediately of any unauthorized access
• Be responsible for all activity under your account

You may not share your account with others or use another person's account without permission.

5. Subscription and payment

5.1 Billing

CashGOAT operates on a monthly subscription basis. Payment is due at the beginning of each billing cycle. All fees are processed via Stripe.

5.2 Pricing

Pricing is based on the service tier and volume selected. Prices are subject to change with 30 days' notice.

5.3 Late payment

Failure to pay on time may result in suspension or termination of Services. We reserve the right to charge late fees on overdue accounts.

6. Refund policy

CashGOAT offers a performance-based refund guarantee for the first billing cycle:

• If no valuable results are delivered during the test month, we will issue a full refund
• "Valuable results" are defined as qualified meetings booked with ICP-fit prospects or clear pipeline movement as agreed upon at kickoff
• Refund requests must be submitted within 7 days of the end of the first billing cycle
• Refunds are not available for subsequent billing cycles

All refunds are processed within 10 business days of approval.

7. Acceptable use

You agree not to use the Services to:

• Send unsolicited bulk email, spam, or other illegal communications
• Violate any applicable laws, including CAN-SPAM, GDPR, or CASL
• Impersonate another person or entity
• Distribute malware, viruses, or harmful code
• Engage in fraudulent, deceptive, or misleading practices
• Harvest or collect data without proper consent
• Interfere with or disrupt the Services or servers

We reserve the right to suspend or terminate your account if you violate these restrictions.

8. Client data and content

8.1 Ownership

You retain all ownership rights to your Client Data. You grant CashGOAT a limited, non-exclusive license to use your data solely to provide the Services.

8.2 Responsibility

You are responsible for ensuring that all Client Data complies with applicable laws and does not infringe on third-party rights. You warrant that you have all necessary rights and consents to provide the data to us.

8.3 Backup and security

While we implement reasonable security measures, you are responsible for maintaining backups of your data.

9. Intellectual property

All intellectual property rights in the Services, Platform, and any proprietary technology, software, processes, or methodologies belong to CashGOAT. You may not copy, modify, distribute, sell, or lease any part of our Services without explicit written permission.

Campaign messaging and copy created for you become your property upon payment.

10. Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information disclosed during the provision of Services. This obligation survives termination of the agreement.

Confidential information does not include information that is publicly available, independently developed, or rightfully obtained from third parties.

11. Warranties and disclaimers

11.1 Service warranty

We warrant that we will perform the Services with reasonable skill and care in accordance with industry standards.

11.2 Disclaimer

Except as expressly stated, the Services are provided "as is" without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

We do not guarantee specific results, meeting volumes, or response rates. Outbound performance depends on many factors beyond our control.

12. Limitation of liability

To the fullest extent permitted by law:

• CashGOAT's total liability for any claims arising from these Terms or the Services shall not exceed the total fees paid by you in the 12 months preceding the claim
• We shall not be liable for indirect, incidental, special, consequential, or punitive damages, including lost profits, lost revenue, or lost data
• We are not responsible for third-party actions, email provider policies, or deliverability issues beyond our control

13. Indemnification

You agree to indemnify, defend, and hold harmless CashGOAT, its officers, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from:

• Your violation of these Terms
• Your Client Data or use of the Services
• Infringement of third-party rights
• Your violation of applicable laws or regulations

14. Termination

14.1 By you

You may cancel your subscription at any time by providing 7 days' written notice. Cancellation takes effect at the end of the current billing cycle. No refunds are provided for partial months.

14.2 By us

We may suspend or terminate your access to the Services immediately if you:

• Violate these Terms
• Fail to pay fees when due
• Engage in fraudulent or illegal activity
• Cause harm to CashGOAT or other users

14.3 Effect of termination

Upon termination, your access to the Platform will cease. We will delete or anonymize your Client Data within 90 days unless legally required to retain it longer. Campaign assets and copy remain your property.

15. Changes to terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes via email or through the Platform at least 30 days before they take effect.

Your continued use of the Services after changes take effect constitutes acceptance of the new Terms.

16. Governing law

These Terms are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law principles.

17. Dispute resolution

17.1 Informal resolution

In the event of a dispute, you agree to first contact us at hello@cashgoat.xyz to attempt to resolve the matter informally.

17.2 Arbitration

If informal resolution fails, any dispute shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall take place in Delaware.

17.3 Class action waiver

You agree that any arbitration or legal action shall be conducted on an individual basis and not as a class action or representative action.

18. General provisions

18.1 Entire agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and CashGOAT regarding the Services.

18.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.

18.3 Waiver

Our failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision.

18.4 Assignment

You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction.

18.5 Force majeure

Neither party shall be liable for failure to perform due to causes beyond reasonable control, including natural disasters, war, terrorism, labor disputes, or government actions.
